Vortex Connect reserves the right to verify eligibility and to deny or revoke access at its sole discretion.

2. Platform Role and Scope

Vortex Connect is a technology platform only.

• Vortex Connect is not a broker-dealer, investment adviser, placement agent, fiduciary, or intermediary.
• The Platform does not provide investment advice, legal advice, tax advice, recommendations, or endorsements.
• Vortex Connect facilitates confidential discovery and introductions between users based on self-defined criteria.

All investment decisions, due diligence, negotiations, and transactions are conducted independently by the users. Vortex Connect does not participate in, control, or guarantee any transaction or outcome.

3. User Conduct and Responsibilities

You agree to:

• Provide truthful and accurate information at all times.
• Use the Platform solely for lawful and legitimate business purposes.
• Refrain from misrepresentation, solicitation outside permitted platform functionality, harassment, or abusive behavior.

Vortex Connect reserves the right to suspend or terminate access for any user who violates these Terms or undermines the integrity of the Platform.

4. Confidentiality and Data Use

• Certain non-confidential profile information may be displayed to enable matching.
• Identifying or confidential information is disclosed only upon mutual confirmation of interest.
• Users may request modification or deletion of their data at any time, subject to legal and regulatory retention requirements.

Data handling is governed by the Privacy Policy, which forms an integral part of these Terms.

5. No Endorsement or Verification

• All profiles, mandates, and opportunities are provided by users.
• Vortex Connect does not independently verify, endorse, or guarantee the accuracy, completeness, or legitimacy of any user-submitted information.
• The presence of a company or investor on the Platform does not constitute a recommendation or approval.

6. Forward-Looking Statements

Company materials or communications may include forward-looking statements that involve risks, uncertainties, and assumptions. Such statements are not guarantees of future performance and should not be relied upon as such.

7. Limitation of Liability

To the maximum extent permitted by law:

Exclusive jurisdiction lies with the courts of Zurich, Switzerland.
